1. Eligibility & Accounts

1.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement.

1.2 Account Registration

To access certain features or purchase products, you may need to register an account or provide billing details. You agree to:

• Provide accurate, current, and complete information;

• Keep your login credentials secure; and

• Notify us immediately of any unauthorized use of your account.

You are responsible for all activity that occurs under your account.

2. Products, Licensing & Content

2.1 Scope of Digital Products

Sonapital specializes exclusively in packaged, downloadable digital audio products. These include, but are not limited to, Digital Audio Workstation (DAW) vocal templates (such as FL Studio and Pro Tools project files), vocal presets, mixing templates, and sample libraries.

2.2 No Bespoke or Custom Services

All products offered on the Services are pre-packaged digital goods sold "as-is" for immediate electronic delivery. Sonapital does not offer, sell, or process orders for bespoke audio production, personalized mixing and mastering services, commissioned compositions, or work-made-for-hire through this storefront.

2.3 Software & Hardware Compatibility

Purchased project templates and presets require third-party hardware, operating systems, and host software (e.g., DAWs and third-party audio plugins). You are solely responsible for verifying that your computer configuration, DAW version, and installed plugins meet the system requirements specified on the product page prior to completing your purchase. Sonapital does not provide third-party software licenses or plugins required to run its templates.

2.4 License Grant & Restrictions

Upon purchase, you are granted a non-exclusive, non-transferable, revocable license to use the templates, presets, and audio assets in your personal or commercial audio productions. You agree not to:

• Resell, relicense, redistribute, share, or publish the source project files, presets, or templates in raw or isolated form;

• Claim our templates, project arrangements, or preset configurations as your own standalone digital product; or

• Upload our assets to any peer-to-peer file-sharing network, public cloud folder, or digital asset marketplace.

3. Affiliate & Referral Programs

3.1 Inactive Program Status

The Sonapital affiliate and referral program is currently inactive and suspended across all storefronts.

3.2 Commissions & Referrals

No active referral links, affiliate codes, or tracking mechanisms are operational. No commissions, referral payouts, or legacy performance fees (including previous fixed commissions on exclusive-rights licenses) are currently being tracked, accrued, or disbursed.

Should Sonapital reintroduce an affiliate program in the future, revised operational guidelines, tracking terms, and commission schedules will be formally published prior to activation.

4. Intellectual Property & Ownership

4.1 Content Ownership

All sound recordings, compositions, audio presets, digital templates, branding, text, graphics, and code distributed through the Services are the sole intellectual property of Sonapital Solutions, Inc. or its licensors.

4.2 Copyright Protection

Sonapital Solutions, Inc. retains full, 100% legal ownership, copyright, and publishing rights to all underlying proprietary session files, sound designs, and template frameworks. Purchasing a digital product grants a limited operational license as defined in Section 2.4 and does not constitute a sale, assignment, or buyout of our underlying intellectual property or copyrights.

5. Payments, Merchant of Record & Refunds

5.1 Merchant of Record

Our order fulfillment and checkout processes are conducted by our authorized reseller and Merchant of Record, Paddle (Paddle.com Market Ltd or its affiliates). Paddle handles transaction processing, sales tax and VAT collection, payment compliance, and standard customer billing inquiries.

5.2 Product Delivery

Upon verified payment completion via Paddle, your digital files will be made available for immediate electronic download. Download links are also transmitted to the email address provided at checkout.

5.3 Refund Policy

Our order process is conducted by our online reseller, Paddle.com. Paddle acts as the Merchant of Record for all our orders and manages all global returns and consumer inquiries.

You may request a refund within 14 days of your original transaction date.

Because our products are immediately accessible digital downloads, standard "change of mind" refunds are not automatically granted once a file has been downloaded or accessed.

Within the 14-day window, refunds are evaluated on a discretionary, case-by-case basis. You may be eligible for a full or partial refund if:

• There is a verified technical defect or file corruption.

• The product is materially different from its description.

• You were charged multiple times for the same transaction.

5.4 Chargebacks & Disputes

If you initiate an unauthorized payment reversal or chargeback without contacting customer support first, Sonapital reserves the right to immediately terminate your access to future product downloads and permanently blacklist associated billing profiles from our checkout systems.

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable local, national, or international law;

• Circumvent digital rights management (DRM), licensing checks, or download bandwidth restrictions;

• Probe, scan, or test the vulnerability of our storefront infrastructure;

• Deploy automated scrapers, bots, or extraction scripts across our catalog; or

• Interfere with or disrupt the servers or networks hosting the Services.

7. Privacy & Data Handling

7.1 Information Collected

We collect operational details necessary to fulfill orders and provide access to the Services, including:

• Contact details (e.g., your name and email address) submitted during checkout or support inquiries; and

• Technical usage information (e.g., IP address, device type, browser metadata, and referral paths) collected via standard logs and essential cookies.

7.2 Financial Data Handling

Sonapital does not store or process complete credit card numbers, CVVs, or sensitive banking details on its own servers. All payment transactions are encrypted and processed securely by our Merchant of Record, Paddle, in compliance with PCI-DSS standards.

7.3 Information Sharing

We do not sell, rent, or trade your personal data. We only share operational data with trusted third-party service providers (such as hosting infrastructure, email delivery services, and our Merchant of Record) strictly as needed to deliver our Services and comply with statutory legal mandates.

8. Disclaimers

• The Services and all digital products are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory.

• We do not warrant that our digital templates will meet your specific artistic requirements, be compatible with unlisted legacy/future DAW updates, or operate without uninterrupted software errors.

• To the fullest extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular artistic or technical purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Sonapital Solutions, Inc., its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of data, loss of anticipated revenue, or production downtime) resulting from your access to, use of, or inability to use our digital assets.

Our aggregate liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the total amount you actually paid to us for the specific digital product giving rise to the claim.

10. Modifications to These Terms

We reserve the right to revise or replace these Terms at any time. When updates are published, the “Last Updated” date at the top of this document will be revised accordingly. Your continued use of the Services following the posting of any revisions constitutes your acceptance of the updated Terms.
