Welcome to Sonapital Solutions, Inc. (“Sonapital”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, online beat store, affiliate program, and any related products or services (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Eligibility & Accounts
1.1 Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement.
1.2 Account Registration
To access certain features (including purchases and the affiliate program), you may need to create an account. You agree to:
Provide accurate, current, and complete information;
Keep your login credentials secure; and
Notify us immediately of any unauthorized use of your account.
You are responsible for all activity that occurs under your account.
2. Purchases, Licenses & Content
2.1 Beat Licenses
When you purchase a beat or license from us, you are purchasing a license to use the beat under the specific license terms presented at checkout or on the product page (e.g., MP3 Lease, WAV Lease, Exclusive Rights). You are not purchasing ownership of the underlying composition or master unless explicitly stated.
2.2 License Terms Control
Each license type has its own usage limitations (e.g., number of streams, commercial uses, content ID rules, etc.). In the event of any conflict between these Terms and the specific license agreement for a beat, the license agreement controls for that particular beat.
2.3 No Unauthorized Use
You may not:
Resell, redistribute, or sublicense beats beyond what is allowed in your license.
Claim our beats as your own original production; or
Use our content in any way that violates applicable law or infringes on third-party rights.
3. Affiliate Program
3.1 Overview
We offer an optional affiliate program (the “Affiliate Program”) that allows approved users (“Affiliates”) to earn commissions for referring customers who purchase qualifying products through our site.
Participation in the Affiliate Program is subject to these Terms, any additional terms shown in your affiliate dashboard or application page, and our internal eligibility and fraud-prevention rules.
3.2 Eligibility & Application
You must have a valid account and be at least 18 years old to apply.
We may approve, reject, suspend, or revoke any affiliate application or participation at our sole discretion.
We may request additional information (e.g., payout details, social links, traffic sources) before or after approval.
3.3 Affiliate Codes & Links
Upon approval, you will receive a unique affiliate code and/or referral link (your “Affiliate Code”).
Affiliate links typically include your code as a URL parameter (for example:
ref=YOURCODE).When a customer visits our site using your affiliate link, your Affiliate Code may be automatically applied or pre-filled at checkout.
You are responsible for correctly using and sharing your Affiliate Code and for ensuring you share the exact affiliate link (including the
refparameter) if you want attribution.The referral/affiliate code field at checkout is used to credit a referring Affiliate and does not change the customer’s price unless we explicitly state otherwise in writing.
You may not sell, transfer, sublicense, or allow others to use your Affiliate Code to earn commissions on their behalf.
3.4 Qualifying Sales & Commission
Unless otherwise stated on the site, in your dashboard, or on the Affiliate Program page:
(a) Qualifying Sale
A “Qualifying Sale” is a completed purchase made by a customer who:
uses your Affiliate Code or referral link at the time of checkout;
pays in full; and
is not refunded, reversed, or charged back.
Definitions
“Exclusive Rights license” means a license granting exclusive usage rights as described on the applicable product/license page, without transferring ownership of the underlying copyright unless explicitly stated.
“Copyright buyout” means a transaction where the underlying copyright is sold and/or assigned (in whole or in part) as described on the applicable product page or agreement.
(b) Eligible Products
Commissions are earned only on products expressly marked as commission-eligible in the Affiliate Program page and/or your affiliate dashboard.
Unless stated otherwise, commissions are earned on:
Exclusive Rights licenses; and/or
Copyright Buyouts (if offered), subject to the commission terms below.
All other products are non-commissionable unless clearly stated in writing on the site or in your dashboard.
(c) Same-Session Requirement
Affiliate credit is only eligible when the customer completes the purchase during the same session after clicking an affiliate link. Session tracking may be browser/app specific and may not persist if the customer closes the browser/app, clears data, blocks scripts, switches devices/browsers, or returns later.
(d) Last Click Wins
If a customer clicks multiple affiliate links and/or changes the affiliate/referral code, the most recent affiliate link clicked (or code applied) during the same session will receive credit. Earlier affiliate clicks/codes will not receive credit.
(e) Commission Amount (Commission Schedule)
The commission rate/amount for a Qualifying Sale is the rate/amount shown in your affiliate dashboard or on the Affiliate Program page at the time of the qualifying purchase.
Unless otherwise stated:
Exclusive Rights License (Fixed Commission)
For Qualifying Sales of an Exclusive Rights license, the commission is a fixed $499.99 USD per qualifying sale.Copyright Buyout (Percentage; Capped)
For Qualifying Sales involving a copyright buyout / assignment of the underlying copyright (if offered), the commission is 10% of the net sale amount, unless a different rate is displayed in your dashboard. This buyout commission is capped at 10% of the net sale amount.Net Sale Amount (if percentage applies)
“Net sale amount” means the amount actually received by us after discounts, coupons, refunds, chargebacks, taxes, and payment processing fees.Changes
We may modify commission amounts, caps, eligible products, and pricing prospectively. The dashboard/program page controls for the applicable commission at the time of purchase.
3.5 Tracking, Reports & Payouts
Referrals are tracked based on our systems (Affiliate Codes, referral links, and session-based tracking).
We are not responsible if a customer fails to use your code, does not use your affiliate link, clears browser/app data, blocks scripts, switches devices/browsers, or completes a purchase outside the same session.
Our internal tracking and records are final for determining Qualifying Sales and commission amounts.
Clearance / Hold Period
Commissions typically become payable only after a clearance period (e.g., 30 days) to account for refunds and disputes. We may extend the hold period where we reasonably suspect fraud, abuse, policy violations, or elevated chargeback risk.
Payouts
Payouts may be subject to a minimum payout threshold and will be made through a payment method specified by us (e.g., PayPal or another method).
You are responsible for providing accurate payout information. We are not responsible for lost or delayed payments due to incorrect details.
We may withhold, offset, or adjust payouts to account for refunds, chargebacks, disputes, fraud, or other violations of these Terms.
3.6 Promotion Standards & Disclosures (Required)
You are responsible for complying with all applicable laws and platform rules. This includes making clear disclosures where required (for example: “I may earn a commission if you buy through my link”).
You agree that you will not:
misrepresent pricing, earnings, or results (including implying guaranteed income);
use spam, DM-blasting, comment spam, automated outreach, or deceptive tactics to drive clicks or sales;
use misleading “passive income” claims without clear qualification;
impersonate Sonapital or claim you are an employee, agent, or partner;
run ads or promotions that violate platform rules or promote fraud/scams.
3.7 Taxes & Independent Status
You are solely responsible for any taxes or reporting obligations related to your affiliate earnings. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Sonapital; you participate as an independent contractor.
3.8 Prohibited Affiliate Conduct
You agree not to:
bid on or otherwise target our brand names, trademarks, or close variations (e.g., “Sonapital,” “Sonapital Beats,” etc.) in paid advertising without our prior written permission;
use your Affiliate Code for your own purchases or coordinate self-referrals;
attempt to artificially inflate clicks, sessions, applications, or sales (including via bots, click farms, incentivized traffic, misleading redirects, or other invalid traffic);
promote our Services in connection with illegal, hateful, pornographic/sexually explicit, or otherwise objectionable content (as determined by us).
We may withhold or cancel commissions, suspend your participation, and/or terminate your account if we reasonably believe you violated these rules.
3.9 Fraud, Chargebacks & Adjustments
If a Qualifying Sale is refunded, charged back, reversed, or disputed, related commissions may be cancelled and/or deducted from future payouts.
We may temporarily hold commissions while investigating suspected fraud or abuse.
Confirmed fraud or abuse may result in permanent forfeiture of unpaid commissions and termination of your affiliate status.
3.10 Termination of Affiliate Status
Either you or Sonapital may terminate your participation in the Affiliate Program at any time. Upon termination, you must stop using your Affiliate Code and remove or update any promotional materials referencing the program.
Commissions for Qualifying Sales completed prior to termination will be paid in accordance with these Terms unless withheld or reversed due to refunds, chargebacks, disputes, fraud, abuse, or breach.
3.11 Program Changes
We may modify, pause, or discontinue the Affiliate Program at any time. Changes apply prospectively and will be reflected on the site, the Affiliate Program page, and/or your affiliate dashboard.
4. Acceptable Use
You agree not to use the Services to:
Violate any law or regulation;
Infringe upon intellectual property or privacy rights;
Upload or distribute malicious code, spam, or harmful content;
Attempt to circumvent security or access control measures.
We may suspend or terminate your access if we believe you are violating this section.
5. Intellectual Property
All content on the Services (including beats, audio files, artwork, text, logos, graphics, and code) is owned by Sonapital or our licensors and is protected by copyright and other intellectual property laws.
Except as expressly permitted by a license you purchase or by written agreement from us, you may not copy, redistribute, modify, or create derivative works based on our content.
6. Payments, Refunds & Chargebacks
6.1 Payments
You agree to provide accurate billing information and authorize us (or our payment processors) to charge your selected payment method for all purchases.
6.2 Refunds
Due to the digital nature of our products, all sales are generally final and non-refundable, unless otherwise stated on the product page or required by law.
6.3 Chargebacks
If you initiate a chargeback without a valid basis, we may:
Suspend or terminate your account;
Revoke licenses; and/or
Prevent future purchases.
7. Privacy & Data
7.1 Information We Collect
Personal Information
We may collect personal information such as your name, email address, and contact details when you:
Create an account;
Make a purchase;
Apply for the affiliate program; or
Contact us.
Usage Information
We may collect information about how you use the site, such as IP address, browser type, device information, and pages visited. This helps us analyze trends, administer the site, and improve user experience.
7.2 How We Use Your Information
We may use your information to:
Provide, operate, and improve the Services;
Process transactions and send receipts/notifications;
Communicate with you about your account, orders, or support requests;
Send newsletters or promotional content (you can opt out at any time);
Monitor and prevent fraud, abuse, or security incidents.
7.3 Sharing Your Information
We do not sell or rent your personal information. We may share it with trusted service providers (e.g., payment processors, email services) who assist us in operating the Services, and as required by law, court order, or to protect our rights.
7.4 Cookies & Similar Technologies
We use cookies and similar technologies to:
Keep you signed in;
Remember preferences;
Analyze site traffic and performance.
You may control cookies through your browser settings, but turning them off may limit some features.
7.5 Data Security
We use reasonable administrative, technical, and physical safeguards to protect your information. However, no method of transmission over the internet is 100% secure, and we cannot guarantee absolute security.
7.6 Children’s Privacy
Our Services are not directed to individuals under 18. If you believe a child has provided us with personal information, please contact us so we can remove it.

The Services and all content are provided “as is” and “as available”, without warranties of any kind, express or implied.
We do not guarantee that the Services will be uninterrupted, error-free, or free from harmful components.
To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Sonapital Solutions, Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of (or inability to use) the Services or any content, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or relating to the Services will not exceed the amount you paid to us in the three (3) months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
10. Changes to These Terms
We may update or modify these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Changes take effect when posted, unless a later effective date is specified.
Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
